Kauffmans advised Evans Randall, as Long Leaseholder, on the comprehensive restructuring of its headlease to facilitate the redevelopment of Thavies Inn House.
The instruction extended far beyond a conventional headlease extension. We advised on a complex restructuring of the leasehold interest, including rationalising title arrangements, redefining demise boundaries, surrendering legacy interests, accommodating stopping up orders and implementing the legal framework required to support the redevelopment. Working closely with the freeholder and the wider professional team, we negotiated a new institutional-grade 155-year headlease at a 5% gearing, alongside the associated development agreement and overage arrangements.
The result was a clean, future-proof ownership structure that unlocked the delivery of a best-in-class office-led development in one of the City’s most prominent locations, creating long-term value for both the Freeholder and Long Leaseholder.
